PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THEY CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND JIGIYA TECH, LLC.
THESE TERMS CONTAIN IMPORTANT PROVISIONS AFFECTING YOUR LEGAL RIGHTS, INCLUDING DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, INDEMNIFICATION OBLIGATIONS, AND, FOR USERS IN THE UNITED STATES, A BINDING INDIVIDUAL ARBITRATION AGREEMENT AND CLASS-ACTION AND JURY-TRIAL WAIVER, SUBJECT TO THE EXCEPTIONS AND OPT-OUT PROCEDURE PROVIDED BELOW.
LiveNFrame is operated by Jigiya Tech, LLC, located at 8735 Dunwoody Place, #12443, Atlanta, Georgia 30350 (“Jigiya Tech,” “Company,” “LiveNFrame,” “we,” “us,” or “our”).
These Terms of Service (“Terms”) govern your access to and use of the LiveNFrame mobile application, websites, software, artificial-intelligence-enabled features, rehearsal tools, audition tools, self-tape tools, casting features, communications tools, subscription services, and all related products, content, functionality, and services that link to or reference these Terms (collectively, the “Service”).
By downloading, installing, registering for, accessing, purchasing, subscribing to, or otherwise using any portion of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and any additional policies or terms expressly incorporated herein.
If you do not agree to these Terms, you must not access or use the Service.
1. LIVENFRAME AND THE SERVICES WE PROVIDE
1.1 Purpose of LiveNFrame
LiveNFrame is a technology platform intended to assist actors and other performers with audition preparation, rehearsal, self-tape creation, performance analysis, script retention, professional development, and, where available, the electronic submission of audition materials to casting professionals.
Among other features, the Service may permit eligible Users to:
(a) upload scripts, scenes, sides, excerpts, or other performance materials;
(b) designate the role or roles that the User intends to perform;
(c) designate other characters or roles to be performed by an artificial-intelligence-enabled scene partner;
(d) rehearse scenes interactively with an AI-generated or AI-assisted scene partner;
(e) adjust or select certain characteristics of a rehearsal, including pacing, tone, timing, emotional intention, delivery, or other performance parameters;
(f) record audio or audiovisual performances;
(g) generate transcripts of rehearsals or audition performances;
(h) receive automated, AI-assisted observations, measurements, ratings, analyses, suggestions, or feedback relating to matters such as delivery, voice inflection, articulation, pacing, emotional expression, dramatization, responsiveness, script retention, or other performance characteristics;
(i) receive reports identifying potential areas for additional rehearsal or improvement;
(j) create, store, organize, and manage self-tape audition materials;
(k) discover or respond to casting opportunities made available through the Service;
(l) submit authorized audition materials to Casting Professionals;
(m) enable Casting Professionals and their authorized Associates to establish performance criteria, review submissions, create internal notes, shortlist performers, and manage casting workflows; and
(n) use other present or future features that we may make available.
Features may vary by platform, device, geographic location, subscription level, account type, testing group, or other criteria established by LiveNFrame.
1.2 LiveNFrame Is a Technology Platform
LiveNFrame provides technological tools and infrastructure. Unless we expressly agree otherwise in a separate written agreement signed by an authorized representative of Jigiya Tech, LiveNFrame is not:
a talent agent;
talent agency;
casting agency;
personal manager;
employment agency;
labor contractor;
producer;
production company;
employer;
prospective employer;
union;
guild;
conservatory;
acting school;
acting coach;
legal advisor;
professional career representative; or
guarantor of any professional opportunity.
LiveNFrame does not undertake to negotiate employment agreements, compensation, union terms, residuals, working conditions, personal-service agreements, or other professional engagements on behalf of an Actor.
LiveNFrame does not promise or guarantee that any User will receive an audition, callback, representation agreement, booking, role, employment opportunity, compensation, professional advancement, or other benefit.
Any decision concerning whether to audition, shortlist, interview, call back, cast, represent, hire, or otherwise engage a performer is made independently by the applicable Casting Professional, producer, production company, employer, representative, or other third party—not by LiveNFrame.
1.3 No Procurement or Representation Relationship
The availability of casting notices, audition opportunities, submission functionality, communications functionality, or introductions through the Service does not create an agency, fiduciary, representation, employment, joint-venture, partnership, or similar relationship between LiveNFrame and any User.
LiveNFrame does not act as an Actor’s representative in seeking or negotiating employment and does not accept commissions based upon compensation earned by an Actor from an engagement unless a separately lawful service is expressly established under a separate written agreement and applicable law.
1.4 No Guarantee Regarding Third Parties
We do not endorse, verify, warrant, or guarantee the legitimacy, accuracy, availability, quality, professionalism, safety, solvency, qualifications, identity, legal authority, or conduct of any Actor, Casting Professional, Associate, producer, production company, manager, agent, coach, educator, school, employer, or other third party merely because that person or entity uses the Service.
Verification of certain professional accounts is intended to reduce misuse but does not constitute a warranty, credential, certification, recommendation, or guarantee by LiveNFrame.
2. DEFINITIONS
For purposes of these Terms:
“Actor” means a User who accesses the Service principally to rehearse, prepare performances, record self-tapes, receive AI-assisted feedback, respond to casting opportunities, or submit audition materials.
“AI Features” means artificial-intelligence, machine-learning, speech-recognition, synthetic-voice, natural-language-processing, audiovisual-analysis, or similar automated technologies made available through LiveNFrame.
“AI Output” means any response, dialogue, transcript, score, rating, suggestion, analysis, summary, recommendation, characterization, report, or other material generated or assisted by an AI Feature.
“Associate” means a person authorized by a Casting Professional to access specified casting projects, submissions, notes, or related functions subject to the permissions assigned through the Service.
“Casting Call” means an audition, role, project, casting notice, breakdown, opportunity, or related request for submissions created or distributed through the Service.
“Casting Professional” means a verified or otherwise authorized User who uses professional features to create Casting Calls, review submissions, establish evaluation criteria, collaborate with Associates, shortlist Actors, or conduct other permitted casting activities.
“Company Content” means software, source and object code, algorithms, interfaces, designs, logos, graphics, databases, text, documentation, trademarks, service marks, trade dress, technology, and other materials owned or licensed by LiveNFrame, excluding User Content.
“Submission” means User Content intentionally submitted by an Actor to a Casting Call or Casting Professional through the Service.
“Team Notes” means private notes, evaluations, ratings, annotations, comments, rankings, or other internal materials created by a Casting Professional or Associate regarding an Actor, Submission, Casting Call, or casting decision.
“User,” “you,” or “your” means any individual or legal entity accessing or using the Service.
“User Content” means content uploaded, transmitted, recorded, created, submitted, stored, displayed, or otherwise made available by or on behalf of a User through the Service.
3. ELIGIBILITY AND AGE REQUIREMENTS
3.1 Minimum Age
You must be at least 13 years of age to create or use an individual LiveNFrame account.
The Service is not intended for children under 13, and individuals under 13 may not independently create an account or provide personal information through the Service.
3.2 Users Under the Age of Majority
If you have reached age 13 but have not reached the legal age of majority in your jurisdiction, you may use the Service only with the permission and supervision of your parent or legal guardian.
By permitting a minor to use LiveNFrame, the parent or legal guardian:
(a) consents to the minor’s use of the Service;
(b) agrees to these Terms on the minor’s behalf to the extent permitted by law;
(c) accepts responsibility for the minor’s activity;
(d) represents that the guardian has legal authority to grant such permission;
(e) agrees to supervise the minor’s interactions with Casting Professionals and other Users; and
(f) acknowledges that audition recordings may contain the minor’s name, image, voice, likeness, performance, and other personal information.
3.3 Casting Professionals Must Be Adults
Unless LiveNFrame expressly authorizes otherwise, Casting Professional accounts and administrator-level professional accounts may be held only by persons who are at least 18 years old and legally capable of entering contracts.
3.4 Institutional Users
A school, conservatory, studio, agency, theater, management company, casting office, university, or other organization providing access to LiveNFrame must ensure that its authorized Users satisfy applicable age, consent, privacy, contractual, and supervisory requirements.
4. ACCOUNT REGISTRATION AND SECURITY
4.1 Accurate Information
You agree to provide accurate, current, and complete account information and to keep that information reasonably updated.
You may not create an account using:
(a) false identity information;
(b) another person’s identity without authorization;
(c) misleading professional qualifications;
(d) credentials falsely suggesting membership in a union, guild, agency, casting organization, school, company, or other professional organization; or
(e) information designed to circumvent an account suspension or termination.
4.2 Account Credentials
You are responsible for maintaining the confidentiality and security of your username, password, authentication credentials, devices, and other account-access information.
You may not sell, transfer, rent, sublicense, lend, or share your account except where LiveNFrame expressly permits authorized organizational accounts or Associates.
4.3 Unauthorized Access
You agree to notify us promptly at support@LiveNFrame.com if you know or reasonably suspect that:
(a) your credentials have been compromised;
(b) another person has accessed your account without authorization;
(c) your account has been used fraudulently; or
(d) a security incident involving the Service has occurred.
4.4 Account Roles
LiveNFrame may offer account roles including Actor, Casting Professional, Associate, administrator, educator, coach, institutional administrator, or other roles.
Permissions differ by role, and LiveNFrame may add, modify, limit, verify, or discontinue roles at any time.
5. CASTING PROFESSIONAL VERIFICATION
LiveNFrame may require Casting Professionals to undergo a verification process before receiving access to professional casting functionality.
Verification may include requesting information reasonably designed to establish identity, professional affiliation, employment, industry role, business contact information, or legitimate casting activity.
LiveNFrame may approve, deny, suspend, revoke, or request reverification of professional access in its reasonable discretion.
A verification badge, designation, or status:
(a) is not an endorsement;
(b) is not a guarantee of professional competence or integrity;
(c) does not guarantee that any Casting Call is legitimate or suitable;
(d) does not make LiveNFrame responsible for the Casting Professional’s conduct; and
(e) may be withdrawn.
Casting Professional accounts require a valid single-use invite code issued by LiveNFrame. Invite codes are non-transferable and may be redeemed only once. LiveNFrame reserves the right to revoke Casting Professional access at any time.
6. ACTOR ACCOUNTS AND PROFESSIONAL RESPONSIBILITY
Actors are responsible for determining whether a Casting Call, project, audition, producer, Casting Professional, representative, or other opportunity is appropriate for them.
Actors should independently evaluate any opportunity involving:
travel;
fees;
compensation;
nudity;
intimacy;
dangerous activity;
minors;
personal meetings;
confidential information;
financial information;
identity documents;
immigration or work authorization;
union status;
exclusivity;
intellectual-property assignments; or
contractual commitments.
LiveNFrame is not responsible for negotiating or reviewing contracts arising from opportunities discovered through the Service.
7. CASTING PROFESSIONAL RESPONSIBILITIES
A Casting Professional who creates or manages a Casting Call represents, warrants, and agrees that:
(a) the Casting Professional has legitimate authority to conduct or assist with the relevant casting activity;
(b) all information provided about a Casting Call is materially accurate and not intentionally misleading;
(c) the Casting Professional has all rights and permissions necessary to distribute scripts, sides, character descriptions, reference materials, instructions, and other content uploaded through the Service;
(d) the Casting Professional will not use LiveNFrame to facilitate unlawful discrimination, harassment, exploitation, fraud, trafficking, sexual misconduct, or other unlawful conduct;
(e) the Casting Professional will comply with all laws, union or guild obligations, contractual requirements, and production obligations applicable to the Casting Professional’s activities;
(f) any criteria established for AI-assisted performance analysis are lawful and appropriate for the intended purpose;
(g) AI Output will not be treated as the sole authoritative basis for a consequential professional decision where doing so would violate applicable law or contractual obligations;
(h) final casting decisions remain the responsibility of human decision-makers; and
(i) the Casting Professional will safeguard Actor information obtained through LiveNFrame and use it only for legitimate professional purposes.
8. ASSOCIATES AND TEAM ACCESS
A Casting Professional may invite authorized Associates to participate in specified casting projects.
The Casting Professional is responsible for:
(a) determining whether an Associate should receive access;
(b) assigning appropriate permissions;
(c) supervising use by Associates;
(d) promptly removing access when no longer required; and
(e) ensuring that Associates comply with these Terms.
Associates may access only those Casting Calls, Submissions, Team Notes, or other information authorized through their assigned permissions.
LiveNFrame may suspend or remove an Associate who violates these Terms irrespective of whether the supervising Casting Professional requests such action.
9. ARTIFICIAL INTELLIGENCE FEATURES
9.1 AI-Powered Services
LiveNFrame uses or may use artificial intelligence and related technologies to provide features including:
interactive scene partners;
synthesized speech;
conversational responses;
transcription;
speech-to-text conversion;
performance analysis;
performance scoring;
rehearsal recommendations;
scene analysis;
script analysis;
pacing analysis;
articulation analysis;
emotional-expression analysis;
audition reports; and
other automated assistance.
Third-party technology providers used in connection with these features may presently include providers of large-language-model, speech-to-text, synthetic-voice, hosting, analytics, and cloud-processing technologies. The specific providers may change as the Service evolves.
Our Privacy Policy describes relevant data-processing practices.
9.2 AI Scene Partner
An AI scene partner is an automated system and not a human actor, acting coach, casting professional, manager, agent, teacher, or other entertainment professional.
The timing, delivery, pronunciation, emotional quality, context, or interpretation produced by an AI scene partner may be imperfect or inappropriate for a particular performance.
9.3 AI Performance Feedback
AI performance scores, ratings, comments, analyses, reports, or suggestions are designed solely as supplemental rehearsal and performance-development tools.
They are not:
(a) professional acting credentials;
(b) standardized industry assessments;
(c) guarantees of artistic quality;
(d) guarantees of casting success;
(e) statements of fact concerning a User’s talent or professional potential;
(f) substitutes for instruction from a qualified acting coach or educator; or
(g) binding assessments upon any Casting Professional.
9.4 AI May Be Inaccurate
Artificial-intelligence systems can generate inaccurate, incomplete, inconsistent, biased, inappropriate, or unexpected results.
You are responsible for evaluating AI Output before relying upon or sharing it.
LiveNFrame does not warrant that AI Output:
accurately interprets artistic intent;
accurately measures emotional authenticity;
correctly assesses pronunciation or articulation;
reproduces the judgment of a human director, coach, or casting professional;
will be consistent between performances;
will produce identical results when the same material is submitted multiple times; or
will improve the likelihood of obtaining employment.
9.5 Scores Are Advisory
Unless expressly disclosed otherwise for a particular feature, AI scores are advisory.
A score generated by LiveNFrame is a technological output based upon the available input, configured criteria, model behavior, and system parameters.
Users may not advertise, publish, or represent a LiveNFrame score as a professional certification, union rating, casting guarantee, standardized acting credential, or endorsement by LiveNFrame.
These transparency practices are adopted voluntarily and are consistent with principles reflected in the European Union Artificial Intelligence Act (EU AI Act). Although LiveNFrame does not currently operate in the European Union, we adopt these practices proactively in anticipation of evolving global AI transparency standards.
9.6 Human Casting Decisions
LiveNFrame does not itself select Actors for professional roles merely because an AI system generated a particular score.
Casting Professionals remain responsible for their own professional decisions.
9.7 No Guarantee Against Bias
LiveNFrame seeks to develop useful and responsible technology, but no automated model is guaranteed to be free of bias, error, or limitations.
Users should not rely upon AI Output to make unlawful discriminatory decisions or to infer sensitive personal characteristics that LiveNFrame has not expressly designed the Service to evaluate.
9.8 AI Feature Availability
We may modify, replace, retrain, update, suspend, limit, or discontinue an AI model or AI Feature at any time.
Changes to underlying technology may cause outputs to differ from previous outputs.
9.9 EU AI Act
These transparency practices are adopted voluntarily and are consistent with principles reflected in the European Union Artificial Intelligence Act (EU AI Act). Although LiveNFrame does not currently operate in the European Union, we adopt these practices proactively in anticipation of evolving global AI transparency standards.
10. USER CONTENT
10.1 Ownership
As between you and LiveNFrame, and subject to the rights of third parties, you retain the ownership rights you possess in User Content.
Uploading User Content does not transfer ownership of that User Content to LiveNFrame.
10.2 License to Operate the Service
By uploading, recording, submitting, transmitting, or otherwise making User Content available through the Service, you grant Jigiya Tech a non-exclusive, worldwide, royalty-free, sublicensable to our service providers, transferable solely in connection with a corporate reorganization or transfer of the Service, license to host, cache, copy, reproduce, process, transcode, format, adapt for technical purposes, transmit, display, perform, analyze, and otherwise use User Content only to the extent reasonably necessary to operate, secure, maintain, improve, support, and provide the Service and features you request, and as otherwise described in our Privacy Policy.
This license does not transfer ownership of your User Content.
10.3 Submitted Audition Content
When an Actor intentionally submits User Content to a Casting Call, the Actor additionally authorizes LiveNFrame to make that Submission available to the applicable Casting Professional and authorized Associates for legitimate casting-related purposes.
That authorization may survive account deletion or withdrawal for a limited period to the extent reasonably necessary to:
(a) complete an active casting process;
(b) preserve legitimate internal casting records;
(c) comply with legal obligations;
(d) resolve disputes;
(e) prevent fraud or abuse; or
(f) maintain secure backups pending ordinary deletion cycles.
If a Casting Professional has independently downloaded, recorded, copied, or exported a Submission where the Service permits such action, deleting the Actor’s LiveNFrame account may not delete copies controlled independently by that Casting Professional.
10.4 Your Responsibility for User Content
You represent and warrant that you possess all rights, licenses, permissions, and consents necessary to upload or use your User Content as contemplated by these Terms.
You may not upload User Content that unlawfully infringes another person’s copyrights, trademarks, publicity rights, privacy rights, contractual rights, trade secrets, or other rights.
10.5 Feedback to LiveNFrame
If you voluntarily provide suggestions, ideas, proposals, comments, feature requests, or other feedback regarding LiveNFrame (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free right to use, modify, implement, commercialize, and otherwise exploit that Feedback without restriction or compensation to you.
Feedback does not include private audition recordings merely because those recordings are processed through the Service.
11. SCRIPTS, SIDES, AND COPYRIGHTED PERFORMANCE MATERIALS
11.1 Responsibility for Rights
Scripts, sides, screenplays, stage plays, excerpts, character descriptions, lyrics, and similar materials may be protected by copyright or other rights.
The User uploading such materials represents that the User has authorization or a lawful basis to use those materials through LiveNFrame.
11.2 Casting Professional Uploads
A Casting Professional uploading scripts or sides for an audition represents that the Casting Professional has authority to make those materials available to intended recipients.
11.3 Actor Use
An Actor receiving audition materials through LiveNFrame may use them only for authorized audition, rehearsal, preparation, educational, or related purposes.
Unless the applicable rights holder permits otherwise, an Actor may not:
(a) publicly distribute confidential sides;
(b) sell audition materials;
(c) publish unreleased scripts;
(d) upload confidential materials to unrelated third-party services;
(e) use materials for an unauthorized public performance; or
(f) remove copyright, confidentiality, or ownership notices.
11.4 No Ownership Claim by LiveNFrame
LiveNFrame does not claim ownership of third-party scripts, sides, or other copyrighted materials merely because they are processed by the Service.
12. RECORDING, AUDIO, VIDEO, IMAGE, VOICE, AND LIKENESS
12.1 Recording Features
The Service may access your device camera and microphone when you affirmatively use recording or live-performance features.
You authorize LiveNFrame and its service providers to process the resulting audio, video, image, voice, performance, transcript, and related data as necessary to provide the features you request and as described in the Privacy Policy.
12.2 Your Consent
By initiating a recording, you consent to the recording of your own participation.
12.3 Other Persons
If another person appears, speaks, reads, performs, or otherwise participates in a recording, you are responsible for obtaining any consent required by applicable law before recording or uploading that person’s image, voice, likeness, performance, or communications.
Do not secretly record another person through LiveNFrame where doing so is unlawful.
12.4 Minors in Recordings
If a minor appears in User Content, the uploading User represents that the User has obtained all legally required consent from the minor’s parent, guardian, representative, or other authorized person.
12.5 Publicity Rights
Uploading a person’s image, voice, name, performance, or likeness does not grant you ownership of that person’s publicity or personality rights.
You remain responsible for securing necessary permission.
By submitting a self-tape or other audiovisual content through LiveNFrame, you grant Casting Professionals who receive your submission a limited right to view your name, image, likeness, and performance solely for the purpose of evaluating your audition for the applicable casting call. This right does not extend to commercial use, redistribution, or any purpose beyond casting evaluation. Casting Professionals may not use submitted content for advertising, promotion, or commercial exploitation without the actor's separate written consent.
13. TRANSCRIPTION AND PERFORMANCE REPORTS
LiveNFrame may automatically transcribe audio and generate textual records of performances.
Transcriptions may contain errors caused by, among other things:
accents;
dialects;
background noise;
microphone quality;
overlapping speech;
uncommon names;
performance choices;
poor connectivity;
technical limitations; or
AI model limitations.
Users should review transcripts before relying upon them.
Performance reports, transcripts, scores, and related materials are provided for convenience and developmental purposes and should not be treated as infallible records.
14. TEAM NOTES AND PRIVATE CASTING EVALUATIONS
Casting Professionals and Associates may create Team Notes relating to Actors, auditions, Submissions, and casting decisions.
Unless otherwise expressly provided through the Service:
(a) Team Notes are private to the applicable authorized casting team;
(b) Actors do not have a contractual right under these Terms to view Team Notes merely because the notes concern them;
(c) Team Notes may include subjective professional opinions;
(d) the author of a Team Note is responsible for its content;
(e) Users may not use Team Notes to harass, threaten, defame, unlawfully discriminate against, or exploit another person; and
(f) LiveNFrame may access Team Notes when reasonably necessary for security, legal compliance, technical support, abuse prevention, or enforcement of these Terms, subject to applicable law and our Privacy Policy.
Nothing in this section limits rights a person may possess under applicable privacy or data-protection law.
15. PRIVACY AND DATA PROCESSING
Your privacy is important to us.
Our collection, use, retention, sharing, processing, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Service, you acknowledge that operation of LiveNFrame may require information to be transmitted to, processed by, or stored using third-party infrastructure providers, including cloud-hosting, payment-processing, speech-processing, AI, analytics, authentication, communications, and other technology providers.
The Privacy Policy, rather than these Terms alone, describes our current data-processing practices in greater detail.
You should review the Privacy Policy before using the Service.
16. AI AND THIRD-PARTY PROCESSING
To provide AI Features, LiveNFrame may transmit relevant portions of text, audio, video, transcripts, prompts, metadata, or related information to authorized service providers.
Current categories of providers may include:
speech-to-text providers;
synthetic-voice providers;
large-language-model providers;
cloud-computing providers;
database providers;
content-delivery providers;
analytics providers; and
security providers.
Specific vendors may change over time.
To the extent required by applicable law, our Privacy Policy will disclose relevant categories of processing and available choices.
LiveNFrame does not grant a third-party service provider ownership of User Content merely because that provider processes the content on our behalf.
17. USE OF CONTENT TO IMPROVE LIVENFRAME
LiveNFrame may use aggregated, statistical, de-identified, or otherwise non-identifying information regarding use of the Service for purposes such as:
(a) analytics;
(b) security;
(c) fraud detection;
(d) product development;
(e) performance measurement;
(f) system optimization;
(g) reliability testing; and
(h) improving the Service.
To the extent LiveNFrame seeks to use identifiable private audition recordings or confidential scripts for training a generalized AI model in a manner materially different from providing the requested Service, such use will be governed by the Privacy Policy, applicable consent mechanisms, and applicable law.
18. CONFIDENTIAL AND UNRELEASED CASTING MATERIALS
Casting Calls may involve confidential, unreleased, embargoed, proprietary, or commercially sensitive productions.
Users agree to respect confidentiality notices accompanying Casting Calls or audition materials.
A User may not knowingly publish, leak, distribute, sell, commercially exploit, or otherwise disclose confidential production information received through LiveNFrame except as authorized by the person entitled to control that information.
LiveNFrame may suspend or terminate Users who misuse confidential casting materials.
19. PROHIBITED CONDUCT
You may not use LiveNFrame to:
(a) violate any law, regulation, court order, contractual obligation, intellectual-property right, privacy right, publicity right, or other legal right;
(b) commit or facilitate fraud, impersonation, identity theft, deception, or misrepresentation;
(c) impersonate an Actor, Casting Professional, producer, agent, manager, company representative, union representative, LiveNFrame employee, or other person;
(d) misrepresent professional credentials, credits, union status, agency affiliation, casting authority, or employment opportunities;
(e) create fake Casting Calls;
(f) solicit money under false pretenses;
(g) demand unlawful or deceptive audition fees;
(h) facilitate trafficking, exploitation, coercion, sexual misconduct, or unsafe encounters;
(i) solicit sexual content from minors;
(j) upload child sexual abuse material or any content sexualizing children;
(k) threaten, stalk, bully, harass, intimidate, or abuse another person;
(l) unlawfully discriminate against another person;
(m) publish another person’s private information without authorization;
(n) upload malicious software, viruses, ransomware, worms, Trojan horses, corrupted files, or harmful code;
(o) interfere with or disrupt servers, networks, infrastructure, security mechanisms, or authentication systems;
(p) probe, scan, or test vulnerabilities without authorization;
(q) circumvent access controls, usage limits, subscription restrictions, rate limits, geographic restrictions, or security protections;
(r) reverse engineer, decompile, disassemble, decode, reproduce, or attempt to discover source code, algorithms, model weights, prompts, system instructions, or non-public technical mechanisms except to the extent such restriction is prohibited by law;
(s) scrape, spider, crawl, harvest, index, extract, mine, or systematically collect Service content or User information using automated means without written authorization;
(t) use bots or automated accounts to interact with Users or Casting Calls without authorization;
(u) use LiveNFrame or its outputs to develop, train, benchmark, or improve a competing artificial-intelligence model or substantially similar competing service without written permission;
(v) overload or materially burden our infrastructure;
(w) bypass safety controls or attempt to manipulate AI systems into generating prohibited content;
(x) upload material you lack the right to use;
(y) misuse confidential scripts or casting materials;
(z) sell, transfer, or sublicense your account;
(aa) collect information about Users for unrelated marketing, spam, or unauthorized commercial solicitation;
(bb) export or commercially redistribute User data obtained through the Service;
(cc) use AI-generated scores as false professional credentials;
(dd) falsely state or imply that LiveNFrame endorses, represents, employs, certifies, or sponsors you;
(ee) use another User’s audition, voice, image, likeness, performance, transcript, or profile to create an unauthorized synthetic or deceptive representation of that person;
(ff) remove copyright, trademark, confidentiality, attribution, or proprietary notices;
(gg) circumvent fees owed to LiveNFrame through fraudulent account practices; or
(hh) use the Service in any manner we reasonably determine presents a substantial risk to Users, the platform, third parties, or LiveNFrame.
20. SAFETY AND PROFESSIONAL INTERACTIONS
LiveNFrame cannot control interactions occurring outside the Service.
Users are responsible for exercising appropriate judgment when communicating with or meeting people discovered through LiveNFrame.
LiveNFrame does not require an Actor to disclose highly sensitive information, transfer funds, provide financial credentials, or travel to an unsafe location merely to maintain a LiveNFrame account.
Suspected fraudulent, exploitative, abusive, or unsafe activity should be reported promptly to support@LiveNFrame.com.
LiveNFrame may investigate reported conduct and cooperate with lawful governmental or law-enforcement requests as permitted or required by law.
21. SUBSCRIPTIONS AND PAID SERVICES
21.1 Free and Paid Services
LiveNFrame may offer free features and one or more paid subscription plans.
The features, usage limits, storage limits, rehearsal limits, AI limits, prices, trial periods, and other characteristics of each plan may be displayed at the time of purchase and may change as provided in these Terms.
21.2 LiveNFrame Pro
LiveNFrame Pro is a paid subscription offered to actors. Pricing is displayed at the time of purchase. New actor accounts receive a 72-hour trial period beginning at account creation. During the trial, actors may access recording, rehearsal, and AI performance scoring features without a subscription. Casting call access, submissions, progress tracking, notifications, and full profile features require an active paid subscription. After the trial period expires, a paid subscription is required to continue using recording, rehearsal, and scoring features.
21.3 Casting Professional Pricing
LiveNFrame may presently permit qualified Casting Professionals to use specified casting functionality without charge.
We reserve the right to introduce paid professional, institutional, enterprise, premium, or optional services in the future upon appropriate notice.
22. BILLING AND AUTOMATIC RENEWAL
22.1 Recurring Subscriptions
If you purchase a recurring subscription, you authorize recurring charges at the price and billing interval disclosed at the time of purchase until you cancel.
22.2 Automatic Renewal
Unless otherwise stated at purchase, recurring subscriptions automatically renew for successive billing periods until canceled.
The renewal price will be the then-applicable price disclosed in accordance with applicable law and platform requirements.
22.3 App Store Purchases
Subscriptions purchased through the Apple App Store are billed and administered by Apple and are also subject to applicable Apple payment and subscription terms.
Subscriptions purchased through Google Play are billed and administered by Google and are also subject to applicable Google payment and subscription terms.
22.4 Web Purchases
Web purchases may be processed by Stripe or another authorized payment processor.
By providing payment information, you authorize the applicable processor and LiveNFrame to charge amounts properly due.
22.5 Cancellation
You may cancel a subscription through the purchasing platform or account-management method made available for that subscription.
Cancellation generally prevents future renewal but does not ordinarily retroactively refund an already-billed period except where required by law or expressly provided in the applicable refund policy.
22.6 Deleting an Account Does Not Necessarily Cancel Third-Party Billing
If your subscription is administered by Apple, Google, or another third-party platform, deleting your LiveNFrame account may not automatically cancel the third-party subscription.
You are responsible for separately canceling the subscription through the applicable store where required.
23. PRICES, TAXES, AND PAYMENT AUTHORIZATION
Prices may vary based on plan, location, currency, promotional offer, institution, or other permissible criteria.
You are responsible for applicable taxes, duties, assessments, or governmental charges unless LiveNFrame is legally required to collect and remit them.
We may change subscription pricing prospectively.
Where required, we will provide advance notice before a price change becomes effective for an existing recurring subscription.
If your payment method fails, expires, or is rejected, we may suspend paid functionality until valid payment is received.
24. FREE TRIALS AND PROMOTIONAL OFFERS
LiveNFrame may offer free trials, introductory pricing, promotional subscriptions, discounts, credits, referral benefits, or other offers.
Eligibility may be limited.
Unless stated otherwise:
(a) one promotional offer may be limited to one person, household, payment instrument, or account;
(b) promotional benefits may not be transferred or resold;
(c) LiveNFrame may revoke benefits obtained through fraud or abuse; and
(d) a trial that converts into a paid recurring subscription will do so only as disclosed at enrollment and subject to applicable law.
The current actor trial period is 72 hours beginning at account creation. No payment information is required during the trial. The trial provides access to recording, rehearsal with the AI scene partner, and AI performance scoring. The trial does not include access to casting calls, submissions, progress tracking, notifications, or full profile features. After the trial expires, all features require an active LiveNFrame Pro subscription.
25. REFUNDS
Refund eligibility depends upon the method of purchase and applicable law.
Purchases made through Apple or Google are generally subject to the applicable store’s refund process and policies.
For qualifying purchases made directly through LiveNFrame’s web payment system, any refund policy displayed at purchase or published by LiveNFrame will apply.
Nothing in these Terms eliminates any refund right that cannot lawfully be waived.
26. THIRD-PARTY SERVICES AND LINKS
The Service may integrate with or depend upon products, websites, APIs, payment systems, AI systems, app stores, cloud platforms, or other services operated by third parties.
Third-party services are governed by their own terms and privacy practices.
LiveNFrame is not responsible for:
(a) third-party service availability;
(b) third-party content;
(c) independent changes made by third parties;
(d) outages outside our reasonable control;
(e) independent security practices of third parties; or
(f) transactions directly between you and a third party,
except to the extent liability cannot legally be excluded.
We may replace or discontinue integrations when reasonably necessary.
27. SOFTWARE LICENSE
Subject to your compliance with these Terms, LiveNFrame grants you a limited, personal or internally business-use, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the software components of the Service solely for their intended purposes.
LiveNFrame and its licensors reserve all rights not expressly granted.
No provision of these Terms grants you ownership of LiveNFrame software or underlying technology.
28. LIVENFRAME INTELLECTUAL PROPERTY
The LiveNFrame name, logos, designs, interfaces, software, databases, algorithms, documentation, proprietary workflows, visual designs, trademarks, service marks, trade dress, and other Company Content are owned by or licensed to Jigiya Tech and are protected by applicable intellectual-property laws.
You may not use our trademarks, logos, branding, or confusingly similar marks without prior written authorization, except as otherwise permitted by law.
29. COPYRIGHT COMPLAINTS AND DMCA PROCEDURE
LiveNFrame respects intellectual-property rights.
If you believe that material available through the Service infringes a copyright you own or are authorized to enforce, you may submit a written copyright complaint to the Company’s designated copyright agent containing the information required by applicable law.
A compliant notice should identify:
(a) the copyrighted work claimed to have been infringed;
(b) the allegedly infringing material and sufficient information for us to locate it;
(c) your contact information;
(d) a statement of good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or law;
(e) a statement that the information provided is accurate and, under penalty of perjury, that you are authorized to act for the owner; and
(f) your physical or electronic signature.

If LiveNFrame receives a compliant copyright notice, we may remove or disable access to the relevant material and take additional action consistent with applicable law.
A User whose material has been removed may have the right to submit a counter-notification satisfying applicable legal requirements.
LiveNFrame may terminate repeat infringers in appropriate circumstances.
30. CONFIDENTIALITY AND SECURITY
LiveNFrame uses administrative, technical, and organizational measures designed to protect the Service and User information.
However, no internet-based or electronic information system can be guaranteed to be absolutely secure.
You acknowledge that:
(a) network transmission involves inherent security risks;
(b) no security system prevents every unauthorized access event;
(c) device security is partly your responsibility; and
(d) you should maintain appropriate passwords, operating-system updates, and security protections.
You must not disclose security vulnerabilities publicly in a manner that creates an unreasonable risk to the Service or its Users before giving LiveNFrame a reasonable opportunity to investigate and remediate the issue.
31. SERVICE AVAILABILITY
We endeavor to provide a reliable Service but do not guarantee continuous availability.
The Service may be unavailable because of:
scheduled maintenance;
emergency maintenance;
software updates;
network failures;
cloud-provider outages;
telecommunications interruptions;
cyberattacks;
governmental action;
force majeure events;
third-party provider failures;
security investigations; or
other circumstances.
Features may be added, removed, modified, limited, or replaced.
32. BETA, TEST, AND EXPERIMENTAL FEATURES
LiveNFrame may designate certain features as beta, preview, early access, experimental, pilot, test, or similar.
Such features:
(a) may be incomplete;
(b) may contain errors;
(c) may change without notice;
(d) may be discontinued;
(e) may have additional usage restrictions; and
(f) should not be relied upon as though they were final production services.
Participation may require additional terms.
33. SUPPORT
LiveNFrame may provide customer or technical support through channels we designate.
Support availability, response times, service levels, and scope may differ by subscription plan or account type.
Unless expressly provided in a separate written service-level agreement, we do not guarantee a particular support response or resolution time.
34. ACCOUNT SUSPENSION
We may temporarily restrict, suspend, or disable some or all account functionality where we reasonably believe action is necessary to:
(a) investigate a suspected violation;
(b) protect Users;
(c) protect the Service;
(d) prevent fraud or abuse;
(e) respond to legal process;
(f) address a security incident;
(g) prevent unauthorized access;
(h) respond to nonpayment; or
(i) enforce these Terms.
Where appropriate and legally permissible, we may provide notice or an opportunity to appeal.
35. TERMINATION BY USER
You may stop using LiveNFrame at any time.
Where functionality is available, you may request account deletion through account settings or by contacting support@LiveNFrame.com.
Before deleting your account, you should:
(a) export any User Content you wish to retain where export functionality is available; and
(b) separately cancel recurring subscriptions administered by Apple, Google, or another third party.
36. TERMINATION BY LIVENFRAME
LiveNFrame may terminate or permanently restrict an account for material or repeated violations of these Terms, fraudulent conduct, serious safety concerns, unlawful use, intellectual-property violations, security threats, abusive conduct, or other circumstances where continued access creates unreasonable risk.
For serious violations, termination may occur without advance notice.
37. EFFECT OF ACCOUNT DELETION OR TERMINATION
Following account deletion or termination:
(a) your right to access the Service ends;
(b) inaccessible User Content may enter our deletion process;
(c) certain information may remain temporarily in backups;
(d) information may be retained where reasonably necessary for fraud prevention, security, legal compliance, tax or accounting obligations, dispute resolution, or enforcement;
(e) Submissions associated with an active casting process may remain available for a limited legitimate period; and
(f) copies lawfully downloaded or otherwise independently retained by another authorized User may not be capable of being recalled through deletion of your LiveNFrame account.
Sections that by their nature should survive termination—including intellectual property, accrued payment obligations, disclaimers, limitations of liability, indemnification, dispute resolution, and miscellaneous contractual provisions—will survive.
38. DATA EXPORT AND RETENTION
LiveNFrame may provide tools permitting Users to download or export specified information.
The availability and format of exports may vary.
Users are responsible for retaining independent copies of important material.
LiveNFrame is not intended to serve as the sole permanent archive of irreplaceable professional records.
Retention periods may vary based on data category, account status, operational needs, legal requirements, backup cycles, and our Privacy Policy.
39. NO PROFESSIONAL OR CAREER ADVICE
AI feedback, reports, articles, prompts, educational materials, automated recommendations, and other information provided through LiveNFrame do not constitute legal, financial, employment, union, tax, or professional representation advice.
Users remain responsible for obtaining appropriate professional advice regarding contracts, auditions, representation agreements, union rules, employment terms, intellectual property, taxes, immigration, child-performer requirements, or other matters requiring specialized advice.
40. NO EMPLOYMENT RELATIONSHIP
Nothing in the Service creates an employer-employee relationship between LiveNFrame and an Actor, Casting Professional, Associate, or other User.
LiveNFrame does not determine a performer’s wages, hours, employment classification, working conditions, or contractual terms merely because a Casting Call or Submission is transmitted through the platform.
Any employment or engagement resulting from a casting process is between the applicable parties to that engagement.
41. NO WARRANTIES REGARDING CASTING OPPORTUNITIES
Casting Calls and third-party professional opportunities may be changed, filled, postponed, canceled, withdrawn, or altered without notice to LiveNFrame.
LiveNFrame is not liable merely because:
(a) a Casting Call closes;
(b) a role is cast elsewhere;
(c) a submission is not reviewed;
(d) an Actor does not receive a response;
(e) a Casting Professional changes criteria;
(f) a production is canceled; or
(g) an Actor does not receive employment.
42. REPRESENTATIONS AND WARRANTIES BY USER
You represent and warrant that:
(a) you have capacity and authority to agree to these Terms;
(b) information you provide is materially accurate;
(c) your use of LiveNFrame will comply with law;
(d) you have necessary rights to your User Content;
(e) your User Content and conduct will not knowingly violate another person’s rights;
(f) you will not use LiveNFrame for fraud or unlawful exploitation; and
(g) if you use the Service on behalf of an organization, you have authority to bind that organization to applicable terms.
43. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, COMPANY CONTENT, AI FEATURES, AI OUTPUT, CASTING FEATURES, TRANSCRIPTS, PERFORMANCE REPORTS, SUBMISSIONS FUNCTIONALITY, AND ALL RELATED MATERIALS ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JIGIYA TECH AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS DISCLAIM ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF:
MERCHANTABILITY;
FITNESS FOR A PARTICULAR PURPOSE;
TITLE;
NON-INFRINGEMENT;
ACCURACY;
RELIABILITY;
QUIET ENJOYMENT;
SYSTEM INTEGRATION;
AVAILABILITY;
SECURITY; AND
RESULTS.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:
(a) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE;
(b) ALL DEFECTS WILL BE CORRECTED;
(c) AI OUTPUT WILL BE ACCURATE;
(d) TRANSCRIPTS WILL BE ERROR-FREE;
(e) PERFORMANCE SCORES WILL REFLECT HUMAN PROFESSIONAL JUDGMENT;
(f) THE SERVICE WILL RESULT IN AN AUDITION, CALLBACK, ROLE, REPRESENTATION, EMPLOYMENT, OR PROFESSIONAL SUCCESS;
(g) EVERY CASTING CALL OR USER WILL BE LEGITIMATE;
(h) USER CONTENT WILL NEVER BE LOST; OR
(i) THE SERVICE WILL MEET EVERY USER’S INDIVIDUAL REQUIREMENTS.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THESE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
44. LIMITATION OF LIABILITY
44.1 Excluded Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JIGIYA TECH AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, PROFESSIONAL OPPORTUNITY, EXPECTED SAVINGS, OR EMPLOYMENT OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.
44.2 Specific Risks
Without limiting Section 44.1, to the maximum extent permitted by law we will not be liable for losses resulting solely from:
(a) reliance on AI Output;
(b) an inaccurate score or transcript;
(c) an Actor not receiving an audition or role;
(d) a Casting Professional’s independent decision;
(e) a User’s conduct;
(f) unauthorized distribution by another User after lawful access;
(g) a third-party service outage;
(h) equipment or internet failure;
(i) unauthorized access caused by a User’s failure to safeguard credentials; or
(j) deletion of information in accordance with these Terms or the Privacy Policy.
44.3 Aggregate Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID DIRECTLY TO LIVENFRAME FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR
(B) ONE HUNDRED U.S. DOLLARS ($100) IF YOU DID NOT PAY LIVENFRAME DURING THAT PERIOD.
44.4 Non-Waivable Rights
Nothing in these Terms excludes or limits liability where such liability cannot lawfully be excluded or limited.
45. INDEMNIFICATION
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Jigiya Tech, its affiliates, officers, directors, employees, contractors, licensors, service providers, successors, and assigns from and against third-party claims, actions, proceedings, losses, liabilities, damages, judgments, settlements, penalties, costs, and reasonable attorneys’ fees arising from or relating to:
(a) your User Content;
(b) your use or misuse of the Service;
(c) your violation of these Terms;
(d) your violation of law;
(e) your infringement or violation of another person’s rights;
(f) an unauthorized recording uploaded by you;
(g) scripts or audition materials you lacked authority to distribute;
(h) a Casting Call created by you;
(i) your professional relationship or transaction with another User; or
(j) fraud, willful misconduct, or unlawful conduct by you.
LiveNFrame reserves the right to assume control of the defense of a matter subject to indemnification, in which event you agree to reasonably cooperate.
You may not settle a claim imposing liability, admission, or non-monetary obligations upon LiveNFrame without our written consent.
46. RELEASE REGARDING USER-TO-USER DISPUTES
To the maximum extent permitted by law, disputes between Users regarding auditions, casting decisions, employment, representation, compensation, project conditions, submissions, professional communications, or off-platform activity are disputes between those Users or relevant third parties.
LiveNFrame may, but is not obligated to, assist with reports, preserve information where legally appropriate, or enforce platform rules.
Our willingness to investigate a report does not make LiveNFrame a party to the underlying professional dispute.
47. GOVERNING LAW
Except where applicable law requires otherwise, these Terms and any dispute between you and Jigiya Tech will be governed by the laws of the State of Georgia, without regard to conflict-of-laws principles.
The Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions below where applicable.
48. INFORMAL DISPUTE RESOLUTION
Before commencing arbitration, either party asserting a dispute must provide the other with a written Notice of Dispute and make a good-faith effort to resolve the matter informally for at least 60 days.
A Notice sent to LiveNFrame must be mailed to:

and may additionally be emailed to support@LiveNFrame.com with the subject line “Legal Notice of Dispute.”
The Notice should include:
(a) the claimant’s name;
(b) account email;
(c) contact information;
(d) a description of the dispute;
(e) the specific relief requested; and
(f) sufficient information to permit meaningful investigation.
Any applicable limitations period will be tolled during the required 60-day informal-resolution period to the extent permitted by law.
49. BINDING INDIVIDUAL ARBITRATION
49.1 Agreement to Arbitrate
Except for disputes expressly excluded below, you and Jigiya Tech agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, your account, payments, AI Features, User Content, Casting Calls, Submissions, or the relationship between you and LiveNFrame will be resolved through binding individual arbitration rather than in court.
49.2 Administrator and Rules
Unless the parties agree otherwise, arbitration will be administered by the American Arbitration Association (“AAA”) under the applicable AAA Consumer Arbitration Rules or Commercial Arbitration Rules, depending upon the nature of the transaction.
If AAA is unavailable or unwilling to administer the arbitration, the parties will attempt to select another nationally recognized arbitration provider. If they cannot agree, a court of competent jurisdiction may appoint an arbitrator.
49.3 Location and Remote Proceedings
For individual consumer claims, hearings may be conducted remotely, by telephone, by videoconference, on written submissions, or in a reasonably convenient location as permitted by applicable arbitration rules and law.
49.4 Arbitrator Authority
The arbitrator may award the same individual remedies that would otherwise be available in court, subject to these Terms and applicable law.
49.5 Exceptions
Either party may bring:
(a) an eligible individual action in small claims court;
(b) an action seeking emergency or provisional relief necessary to prevent actual or threatened misuse of intellectual property, confidential information, security credentials, or computer systems; or
(c) a matter that applicable law prohibits from being subject to pre-dispute arbitration.
50. CLASS-ACTION AND REPRESENTATIVE-ACTION WAIVER
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND JIGIYA TECH AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE PROCEEDING.
Unless all parties expressly agree in writing, an arbitrator may not consolidate the claims of multiple persons or preside over a class or representative proceeding except to the extent applicable law makes such restriction unenforceable.
If a final judicial determination holds that a particular claim or request for relief cannot lawfully be waived on a representative basis, that claim or request may proceed in court after arbitrable individual claims are resolved, to the extent permitted by law.
51. JURY-TRIAL WAIVER
For any dispute that is permitted to proceed in court rather than arbitration, YOU AND JIGIYA TECH KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO A TRIAL BY JURY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
52. RIGHT TO OPT OUT OF ARBITRATION
You may opt out of Sections 49 and 50 by sending written notice within 30 days after the date you first become subject to these Terms.
Your opt-out notice must include:
(a) your full legal name;
(b) your LiveNFrame account email;
(c) a clear statement that you elect to opt out of the LiveNFrame arbitration agreement; and
(d) your signature.

A timely opt-out applies only to arbitration and the associated class-action waiver and does not affect the remainder of these Terms.
53. COURT VENUE FOR NON-ARBITRABLE DISPUTES
To the extent a dispute is not subject to arbitration and applicable law permits contractual venue selection, the parties consent to exclusive jurisdiction in the appropriate state or federal court located in or serving Fulton County, Georgia.
Each party waives objections based upon personal jurisdiction or inconvenient forum to the extent permitted by law.
54. TIME LIMIT FOR CLAIMS
To the maximum extent permitted by applicable law, any claim arising out of or relating to these Terms or the Service must be commenced within one year after the claimant knew or reasonably should have known of the facts giving rise to the claim, unless a longer period is required by law.
This section does not shorten any limitations period that applicable law prohibits parties from shortening.
55. CHANGES TO THE SERVICE
LiveNFrame is an evolving technology product.
We may:
(a) introduce new functionality;
(b) modify existing functionality;
(c) change interfaces;
(d) change third-party providers;
(e) update AI models;
(f) change usage limits;
(g) discontinue obsolete features;
(h) create new account tiers;
(i) modify storage limits; or
(j) discontinue all or part of the Service.
Where a change materially affects a paid subscription or legal rights, we will provide notice when required by applicable law.
56. CHANGES TO THESE TERMS
We may update these Terms to reflect:
changes to the Service;
new features;
changes in business practices;
legal or regulatory developments;
security requirements;
changes to third-party services; or
other legitimate reasons.
If we make a material change, we will provide notice as required by law, which may include notice through the Service, by email, or by updating the effective date.
Where legally required, material changes will become effective only after the required notice period or affirmative consent.
Your continued use of the Service after revised Terms become effective constitutes acceptance where permitted by law.
57. APPLE APP STORE ADDITIONAL TERMS
If you obtain the LiveNFrame application through Apple’s App Store:
(a) these Terms are between you and Jigiya Tech, not Apple;
(b) Jigiya Tech, not Apple, is responsible for the LiveNFrame application and its content;
(c) Apple has no obligation to provide maintenance or support for LiveNFrame except as required by applicable law;
(d) to the extent any warranty is legally required and cannot be disclaimed, you may notify Apple where applicable under Apple’s platform requirements, but Jigiya Tech remains responsible for other claims relating to the application;
(e) Jigiya Tech, not Apple, is responsible for addressing claims relating to possession or use of the LiveNFrame application, including product-liability, legal-compliance, consumer-protection, or intellectual-property claims to the extent allocated under applicable law;
(f) you represent that you are not located in a country subject to an applicable U.S. government embargo prohibiting use and are not prohibited from receiving the Service under applicable sanctions law; and
(g) Apple and its subsidiaries are intended third-party beneficiaries of this section to the extent required by Apple’s applicable developer terms.
Your use of the application must also comply with applicable App Store usage rules.
58. GOOGLE PLAY AND OTHER DISTRIBUTION PLATFORMS
If you obtain LiveNFrame through Google Play or another third-party distribution platform, your use may additionally be subject to that platform’s applicable terms.
To the extent of a direct conflict regarding a transaction administered by that platform, the platform’s mandatory transaction terms may control that transaction.
59. EXPORT CONTROLS AND SANCTIONS
You may not use, export, re-export, transfer, or provide access to the Service in violation of applicable United States export-control or economic-sanctions laws.
You represent that you are not prohibited from using the Service under applicable trade restrictions.
60. ACCESSIBILITY
LiveNFrame seeks to make its Service useful to a broad range of performers.
Users experiencing accessibility barriers may contact support@LiveNFrame.com.
Availability of a particular accessibility feature may depend upon platform, device, operating system, or third-party technology.
61. FORCE MAJEURE
LiveNFrame will not be responsible for delay or failure to perform caused by circumstances beyond its reasonable control, including natural disaster, severe weather, fire, flood, epidemic, pandemic, war, terrorism, civil disturbance, governmental action, labor dispute, internet failure, telecommunications failure, cloud-provider outage, power failure, cyberattack, or similar event.
This provision does not excuse obligations that applicable law does not permit us to disclaim.
62. ASSIGNMENT
You may not assign or transfer these Terms or your account without our prior written consent.
Jigiya Tech may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, transfer of the Service, or similar transaction, subject to applicable law.
63. NO THIRD-PARTY BENEFICIARIES
Except as expressly stated in these Terms, including any provisions applicable to an authorized application-distribution platform, these Terms do not create enforceable rights in third parties.
64. INDEPENDENT PARTIES
These Terms do not create a partnership, joint venture, franchise, fiduciary, employment, agency, or similar relationship between you and Jigiya Tech.
Neither party has authority to bind the other except as expressly stated in writing.
65. ELECTRONIC COMMUNICATIONS
By creating an account, you consent to receive transactional and service-related communications electronically, including account notices, security alerts, billing notices, legal notices, and updates to these Terms.
Where required by law, promotional communications will be governed separately and may include an unsubscribe mechanism.
Electronic communications satisfy written-notice requirements to the extent permitted by applicable law.

67. SEVERABILITY
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent legally permissible and the remaining provisions will continue in full force and effect, except where the arbitration provisions expressly provide otherwise.
68. WAIVER
Failure by LiveNFrame to enforce a provision of these Terms is not a waiver of that provision or any other right.
A waiver is effective only if made in writing by a person authorized to bind the waiving party.
69. HEADINGS
Section titles and headings are provided for convenience only and do not limit or alter the meaning of these Terms.
70. INTERPRETATION
Words such as “including” mean “including without limitation.”
The singular includes the plural where appropriate, and vice versa.
Any ambiguity will not automatically be construed against a party solely because that party drafted the language.
71. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, applicable subscription terms, any supplemental terms expressly incorporated by reference, and any separate written enterprise or institutional agreement between you and Jigiya Tech, constitute the entire agreement between the parties concerning the subject matter addressed herein.
They supersede prior or contemporaneous oral or written understandings concerning that subject matter.
If an authorized enterprise, institutional, school, casting-office, or other written agreement expressly conflicts with these Terms, the specially negotiated agreement will control to the extent of the conflict.
72. ORDER OF PRECEDENCE
Unless expressly stated otherwise, if applicable contractual documents conflict, the following order of precedence applies:
a separately signed enterprise or institutional agreement;
applicable supplemental service-specific terms;
these Terms of Service;
incorporated policies.
The Privacy Policy controls with respect to its description of personal-information practices unless another legally binding document expressly governs the relevant processing.
73. NO RELIANCE ON ORAL REPRESENTATIONS
You acknowledge that these Terms and other written terms expressly incorporated herein govern your use of LiveNFrame.
Statements by sales personnel, contractors, support personnel, social-media accounts, promotional materials, demonstrations, or other communications do not amend these Terms unless contained in an authorized written agreement.

75. ACKNOWLEDGMENT
Users are required to review and accept the EU AI Act disclosure, Privacy Policy, and these Terms of Service through an in-app acceptance flow before accessing the Service. Acceptance is recorded with a typed signature and timestamp. When these documents are materially updated, users will be required to review and re-accept the updated versions.
