This Name, Image, Likeness, Voice & Performance Rights Agreement (the “NIL Agreement”) governs the treatment of a User’s name, professional name, stage name, image, likeness, appearance, voice, performance, persona, movements, gestures, mannerisms, recordings, and related personal and performance attributes in connection with the LiveNFrame platform.

LiveNFrame is operated by Jigiya Tech, LLC (“Jigiya Tech,” “LiveNFrame,” “Company,” “we,” “us,” or “our”), located at:

8735 Dunwoody Place, #12443Atlanta, Georgia 30350

This NIL Agreement supplements and forms part of the LiveNFrame Terms of Service and should be read together with the LiveNFrame Privacy Policy.

Because LiveNFrame is specifically designed for actors, performers, auditions, self-tapes, rehearsals, audiovisual recordings, artificial-intelligence-assisted performance analysis, and casting workflows, a User’s identity and performance characteristics are fundamental to the Service.

We therefore believe it is important to explain clearly what rights you retain, what limited permissions you grant to LiveNFrame, what rights a Casting Professional receives when you intentionally submit an audition, and what LiveNFrame does not acquire merely because you use the Service.

1. YOUR NAME, IMAGE, LIKENESS, VOICE, AND PERFORMANCE REMAIN YOURS

As between you and Jigiya Tech, and subject to any rights belonging to third parties in scripts, music, characters, productions, or other underlying materials:

LiveNFrame does not acquire ownership of your name, image, likeness, voice, persona, identity, or original performance merely because you use LiveNFrame.

You retain whatever ownership, publicity, privacy, intellectual-property, contractual, guild, union, statutory, common-law, or other rights you otherwise possess in your:

legal name;

professional name;

stage name;

nickname;

image;

photograph;

headshot;

likeness;

face;

physical appearance;

voice;

vocal characteristics;

speech;

performance;

acting choices;

gestures;

expressions;

movements;

mannerisms;

persona;

self-tape;

audition;

rehearsal recording;

original performance;

biography;

professional identity; and

other protectable aspects of your identity or performance.

Nothing in this Agreement should be construed as an assignment to Jigiya Tech of your right of publicity or other ownership rights in your identity.

2. LIVENFRAME DOES NOT BECOME YOUR TALENT REPRESENTATIVE

Your use of LiveNFrame does not create an agency, talent-management, employment, partnership, joint-venture, fiduciary, or representation relationship between you and Jigiya Tech.

LiveNFrame provides technology.

LiveNFrame does not thereby become:

your talent agent;

manager;

casting representative;

employer;

producer;

personal representative; or

owner of your professional persona.

3. USER CONTENT AND NIL RIGHTS ARE RELATED BUT DISTINCT

A recording may implicate several different categories of rights.

For example, a self-tape may contain:

your NIL rights in your identity, face, voice, and likeness;

your performance rights, to the extent recognized by applicable law;

copyright or contractual rights belonging to a script owner;

production rights belonging to a Casting Professional, studio, playwright, producer, or other rights holder; and

other intellectual-property or privacy rights.

Your ownership of your NIL rights does not give you ownership of a screenplay, character, copyrighted script, music, trademark, or other material belonging to someone else.

Likewise, another person’s ownership of a script does not, by itself, transfer ownership of your name, likeness, or voice to that person.

4. LIMITED LICENSE NECESSARY TO OPERATE LIVENFRAME

Although your User Content remains yours as between you and LiveNFrame, certain technical permissions are necessary for us to provide the Service.

Accordingly, when you upload, record, store, process, rehearse, transcribe, analyze, or submit User Content through LiveNFrame, you grant Jigiya Tech a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, encode, transcode, process, transmit, display, technically modify, and otherwise use that User Content only to the extent reasonably necessary to:

provide the Service you requested;

store your recording;

play your recording back to you;

synchronize audio and video;

generate a transcript;

perform AI-assisted analysis;

generate requested performance feedback;

generate requested performance scores;

provide an AI scene partner;

create requested performance reports;

transmit an audition you elect to submit;

display a Submission to the applicable Casting Professional;

allow authorized Associates to participate in an applicable casting workflow;

maintain security;

prevent fraud or abuse;

troubleshoot technical problems;

comply with applicable law; and

otherwise perform functionality expressly requested or reasonably expected from the Service.

This operational license does not transfer ownership of your NIL rights to Jigiya Tech.

5. NO IMPLIED ENDORSEMENT RIGHTS

Your use of LiveNFrame does not authorize Jigiya Tech to falsely represent that you endorse LiveNFrame.

Except where you separately consent or where otherwise legally permissible, Jigiya Tech will not use your private audition recording, image, likeness, or voice to suggest that:

you endorse LiveNFrame;

you are a spokesperson for LiveNFrame;

you recommend Jigiya Tech;

you sponsor a Jigiya Tech product; or

you have a commercial relationship with Jigiya Tech beyond your actual relationship with the Service.

6. NO ADVERTISING USE OF PRIVATE RECORDINGS WITHOUT SEPARATE AUTHORIZATION

LiveNFrame does not acquire the right merely through this Agreement to take a private rehearsal or audition recording and use it in:

television advertising;

digital advertising;

social-media advertising;

promotional videos;

website testimonials;

app-store advertisements;

trade-show presentations;

investor promotional videos;

endorsements;

commercials;

sponsored content; or

other unrelated commercial promotional materials

featuring the identifiable User.

If LiveNFrame wishes to use your identifiable performance, image, likeness, or voice for such purposes, we may request separate authorization describing the proposed use.

You may refuse such authorization without losing ownership of your User Content.

7. SUBMITTING A SELF-TAPE

When you intentionally select a command such as Submit, Send, or another function clearly indicating that an audition will be delivered to a Casting Professional, you authorize LiveNFrame to transmit the designated Submission to that Casting Professional and authorized members of the applicable casting team.

That authorization applies only to the material you selected for submission and does not grant the Casting Professional access to your unrelated private rehearsal library.

8. RIGHTS OF CASTING PROFESSIONALS

By submitting an audition through LiveNFrame, you authorize the recipient Casting Professional and authorized casting-team members to access, view, review, replay, evaluate, internally discuss, and otherwise process the Submission as reasonably necessary for the legitimate casting purpose for which you submitted it.

Subject to applicable law, casting professionals may also maintain reasonable records associated with their casting process.

The permission created by your Submission is intended to facilitate casting evaluation, not unrelated exploitation of your identity.

9. WHAT A CASTING SUBMISSION DOES NOT AUTOMATICALLY AUTHORIZE

Unless separate authorization exists or applicable law independently permits the use, submitting an audition through LiveNFrame does not by itself authorize a Casting Professional to use your Submission or NIL for:

advertising unrelated products or services;

commercial endorsements;

promotional campaigns unrelated to the casting process;

merchandise;

synthetic advertisements;

political advertisements;

creation of a digital replica;

unauthorized voice cloning;

unauthorized facial replication;

training an unrelated AI model;

creation of synthetic performances;

pornography or sexually explicit synthetic media;

defamatory content;

deceptive impersonation;

commercial exploitation outside the contemplated casting relationship; or

sale of your NIL rights.

A Casting Professional requiring additional rights must obtain those rights separately from the appropriate rights holder.

10. LIVENFRAME DOES NOT GRANT YOUR NIL RIGHTS TO CASTING PROFESSIONALS

LiveNFrame cannot grant another person rights that LiveNFrame does not own.

Accordingly, no feature of LiveNFrame should be interpreted as granting a Casting Professional ownership of an Actor’s name, image, likeness, voice, or persona.

Any production agreement, performer agreement, release, employment agreement, SAG-AFTRA agreement, talent agreement, or other arrangement between an Actor and a production is independent of this NIL Agreement.

11. CASTING PROFESSIONALS’ INDEPENDENT RESPONSIBILITIES

Casting Professionals are independently responsible for their use of Actor Submissions after receiving them.

Casting Professionals must comply with:

applicable right-of-publicity laws;

privacy laws;

intellectual-property laws;

employment laws where applicable;

contractual restrictions;

confidentiality obligations;

applicable guild or union requirements; and

other laws governing their activities.

LiveNFrame does not authorize a Casting Professional to violate an Actor’s rights.

12. UNAUTHORIZED USE BY ANOTHER USER

A Casting Professional’s misuse of a Submission does not mean that LiveNFrame authorized that misuse merely because the Submission was transmitted through the Service.

To the maximum extent permitted by applicable law, Jigiya Tech is not responsible for independent unlawful conduct by a Casting Professional or other User that occurs outside Jigiya Tech’s authorization or control.

However, Users may report suspected misuse to LiveNFrame.

We may investigate reported violations and may suspend, restrict, or terminate accounts where appropriate under our Terms of Service.

Nothing in this provision eliminates liability that applicable law prohibits Jigiya Tech from disclaiming.

13. NO SALE OF USER RECORDINGS

LiveNFrame does not presently sell Actor rehearsal recordings or audition recordings to:

advertisers;

data brokers;

AI developers;

marketing companies;

talent databases;

facial-recognition companies;

voice-cloning companies; or

unrelated third parties.

The use of third-party infrastructure necessary to provide the Service is governed separately below and in our Privacy Policy.

14. NO GENERAL COMMERCIAL LICENSING OF YOUR PERFORMANCE

LiveNFrame does not presently operate a stock-footage, voice-library, performance-library, or digital-likeness marketplace through which Jigiya Tech licenses private Actor recordings to unrelated third parties.

Uploading a recording therefore does not convert your performance into a commercially licensable LiveNFrame asset.

15. AI MODEL TRAINING

LiveNFrame does not presently use identifiable private Actor recordings to train a generalized LiveNFrame foundation AI model merely because an Actor uses the Service.

LiveNFrame also does not presently license your private audition recordings to unrelated companies for the purpose of training their generalized AI models.

Your use of an AI-assisted LiveNFrame feature does not itself constitute consent for unrestricted AI training on your identity or performance.

16. MATERIAL CHANGE TO AI-TRAINING PRACTICES

If Jigiya Tech proposes in the future to use identifiable private User recordings, images, voices, performances, or likenesses for generalized AI-model training in a manner materially different from the practices described in this Agreement, Jigiya Tech will provide additional notice and obtain any consent required by applicable law before implementing that use.

We will not interpret acceptance of this NIL Agreement as unlimited advance permission for materially different future uses of your NIL in AI training.

17. TRANSCRIPTION PROCESSING

LiveNFrame currently uses Deepgram to provide speech-to-text transcription functionality.

When transcription is requested or necessary to provide a selected feature, relevant audio may be transmitted to Deepgram for transcription.

Under LiveNFrame’s current configuration, Deepgram’s Model Improvement Program is intended to be disabled for LiveNFrame’s use.

Accordingly, the audio is transmitted for the purpose of providing the transcription functionality rather than as a transfer of ownership of the Actor’s voice.

18. ANTHROPIC CLAUDE PROCESSING

LiveNFrame currently uses Anthropic’s Claude API for certain AI-assisted functionality.

Under LiveNFrame’s presently designed architecture, relevant transcript or script text may be transmitted to Anthropic for functions such as:

performance analysis;

scoring;

feedback;

script analysis; and

AI-assisted scene-partner functionality.

Raw Actor video or audio is not intended to be transmitted to Anthropic merely to perform transcript-based scoring under the currently described architecture.

Processing text derived from your performance does not transfer ownership of your NIL rights to Anthropic or LiveNFrame.

19. SYNTHETIC VOICE TECHNOLOGY

LiveNFrame currently uses ElevenLabs for certain AI scene-partner voice functionality.

Text may be transmitted to ElevenLabs so that the AI scene partner can speak designated dialogue.

Under the presently designed architecture, an Actor’s private audition recording is not transmitted to ElevenLabs merely to generate the standard AI scene-partner voice.

20. NO AUTHORIZATION TO CLONE A USER’S VOICE

Unless LiveNFrame introduces a separate feature with appropriate disclosures and obtains any consent required by applicable law, use of LiveNFrame does not authorize Jigiya Tech to create a persistent synthetic clone of your voice for unrelated purposes.

Your microphone permission allows the Service to capture audio for the functions you request.

It does not constitute blanket authorization for LiveNFrame to create a commercial synthetic voice identity based upon you.

21. NO AUTHORIZATION TO CREATE A DIGITAL REPLICA OF A USER

Similarly, your use of LiveNFrame does not by itself authorize Jigiya Tech to create an independent digital replica designed to substitute for you as a performer.

For purposes of this Agreement, a “Digital Replica” generally means a highly realistic synthetic or digitally generated representation designed to reproduce identifiable characteristics of a particular real person, including their appearance, voice, movements, or performance identity.

Ordinary technical processing of your recording—such as compression, resizing, transcription, playback, thumbnail creation, or format conversion—is not intended to constitute creation of a Digital Replica.

22. AVATARS AND AI-GENERATED CHARACTERS

LiveNFrame may include or later introduce:

avatars;

AI scene partners;

synthetic characters;

computer-generated persons;

animated characters;

digital presenters;

synthetic voices;

virtual performers; or

other computer-generated representations

(collectively, “Synthetic Characters”).

Unless LiveNFrame expressly identifies a Synthetic Character as licensed from, authorized by, modeled on, or representing a particular real person, LiveNFrame’s Synthetic Characters are fictional, synthetic, composite, procedurally generated, artistically created, or otherwise not intended to depict any particular actual individual.

23. INCIDENTAL OR COINCIDENTAL RESEMBLANCE

A Synthetic Character may, by coincidence, share certain characteristics with a real person.

For example, an avatar may coincidentally have:

similar facial features;

similar complexion;

similar hairstyle;

similar eye color;

similar body type;

similar clothing;

similar age appearance;

similar gestures;

similar posture;

similar facial expressions;

similar speech cadence;

similar vocal pitch;

similar accent;

similar tone;

similar movement;

similar mannerisms; or

other characteristics

to an actual person.

Unless LiveNFrame expressly states otherwise, any such resemblance is unintended, coincidental, incidental, and serendipitous.

No inference should be drawn from an incidental resemblance that the Synthetic Character was created from, modeled upon, endorsed by, affiliated with, or intended to represent that person.

24. NO AVATAR IS INTENDED TO REPRESENT A PARTICULAR REAL PERSON

Unless specifically disclosed otherwise pursuant to an authorized arrangement, LiveNFrame does not intend its standard avatars or Synthetic Characters to be replicas of any identifiable living or deceased person.

Standard Synthetic Characters are not intended to represent:

celebrities;

actors;

public figures;

LiveNFrame Users;

Casting Professionals;

employees;

executives;

voice actors;

historical persons; or

any other identifiable individual.

25. SIMILARITY OF VOICE

Human voices share many characteristics.

A synthetic voice may therefore coincidentally resemble the:

pitch;

tone;

cadence;

rhythm;

accent;

inflection;

resonance;

timbre;

pronunciation; or

speech pattern

of a real person.

Unless expressly disclosed otherwise, such similarity does not mean that LiveNFrame sampled, copied, cloned, licensed, or intentionally imitated that individual’s voice.

26. SIMILARITY OF MOVEMENT OR MANNERISMS

Likewise, gestures and movements are not necessarily unique to one person.

A Synthetic Character may smile, walk, gesture, react, move, pose, or express emotion in a manner that happens to resemble a real individual.

Unless LiveNFrame expressly states otherwise, such similarity is coincidental and is not intended to indicate that the avatar was motion-captured from, trained specifically on, or designed to imitate that individual.

27. USER-PROMPTED ATTEMPTS TO IMITATE REAL PERSONS

Users may not use LiveNFrame’s AI, avatar, voice, or other synthetic-media functionality to unlawfully:

impersonate another person;

misappropriate another person’s NIL;

create unauthorized commercial endorsements;

create deceptive digital replicas;

clone another person’s voice without required authorization;

falsely suggest sponsorship or affiliation;

commit fraud;

defame another person;

harass another person;

evade identity verification; or

otherwise violate another person’s publicity, privacy, intellectual-property, or other legal rights.

LiveNFrame may restrict or remove functionality or accounts used for prohibited impersonation or synthetic-media abuse.

28. NO GUARANTEE THAT SYNTHETIC OUTPUT WILL NEVER RESEMBLE A REAL PERSON

Generative and synthetic systems can produce outputs containing combinations of common human characteristics.

Accordingly, Jigiya Tech cannot guarantee that every synthetic face, voice, movement, or other characteristic generated or displayed by the Service will be entirely unlike every person who has ever existed.

The relevant distinction is whether a Synthetic Character was intentionally designed or authorized to represent a particular person.

Unless expressly stated otherwise, LiveNFrame’s standard Synthetic Characters are not intended to do so.

29. REPORTING A SUSPECTED LIKENESS ISSUE

If you reasonably believe that a LiveNFrame-controlled Synthetic Character improperly appropriates your legally protected name, image, likeness, voice, or persona, you may contact:

support@livenframe.com

Your notice should identify, where reasonably possible:

your name;

the Synthetic Character or content at issue;

where the content appears;

the characteristics you believe improperly identify you;

your basis for claiming applicable rights; and

contact information through which we may communicate with you.

Jigiya Tech may request additional information reasonably necessary to investigate the matter.

30. NO ADMISSION FROM INVESTIGATION OR REMOVAL

LiveNFrame may voluntarily investigate, modify, disable, or remove a Synthetic Character or other content after receiving a complaint.

Such action does not constitute an admission that:

the character was based upon the complainant;

infringement occurred;

Jigiya Tech violated publicity rights;

the resemblance was intentional; or

the complainant owns exclusive rights in the characteristics at issue.

LiveNFrame may take precautionary measures without admitting liability.

31. PERFORMANCE SCORES DO NOT ALTER NIL OWNERSHIP

AI-generated scores, transcripts, feedback, reports, and recommendations do not transfer ownership of your performance to LiveNFrame.

The creation of an AI score from a performance does not cause the underlying Actor’s name, likeness, voice, or performance to become LiveNFrame property.

32. TRANSCRIPTS

To the extent you possess rights in the original expression embodied in your spoken performance, generation of a transcript does not assign those rights to Jigiya Tech.

However, rights in underlying copyrighted dialogue, scripts, or other third-party material remain with the applicable rights holders.

33. AI-GENERATED FEEDBACK

LiveNFrame or its applicable licensors may possess rights in software, systems, templates, scoring frameworks, interfaces, algorithms, and other platform technology used to generate feedback.

Those platform rights are separate from your rights in your identity and performance.

Nothing about LiveNFrame’s ownership of its technology transfers ownership of your NIL to LiveNFrame.

34. YOUR REPRESENTATIONS CONCERNING UPLOADED CONTENT

When you upload or record content through LiveNFrame, you represent that you possess the rights, permissions, licenses, or other legal authority reasonably necessary for your use of that content through the Service.

You should not upload another person’s image, voice, likeness, private information, or performance in violation of that person’s rights.

35. RECORDINGS INVOLVING OTHER PEOPLE

If your recording contains another identifiable individual, you are responsible for obtaining any consent legally required to record, upload, process, or submit that person’s image, likeness, voice, or performance.

LiveNFrame’s permission to process your User Content does not override another person’s independent legal rights.

36. MINOR PERFORMERS

The NIL of a minor performer may be subject to special statutory, contractual, parental-consent, employment, trust-account, or entertainment-industry requirements.

Where a parent or legal guardian authorizes a minor to use LiveNFrame, that parent or guardian represents that they possess the legal authority necessary to provide the relevant permissions on the minor’s behalf to the extent permitted by applicable law.

Nothing in this Agreement is intended to waive protections afforded to minor performers that cannot lawfully be waived.

37. NO WAIVER OF STATUTORY PUBLICITY RIGHTS

Nothing in this Agreement is intended to waive rights that applicable law makes non-waivable.

Depending upon the jurisdiction, Users may possess statutory or common-law rights concerning:

name;

image;

likeness;

voice;

persona;

identity;

publicity;

privacy;

unauthorized commercial exploitation;

digital replicas; and

related interests.

Those rights remain subject to applicable law.

38. RIGHTS OF DECEASED PERSONS

Certain jurisdictions recognize post-mortem publicity or related rights.

Users may not use LiveNFrame to create or commercially exploit unauthorized synthetic representations of deceased individuals where doing so violates applicable law or another person’s enforceable rights.

39. PUBLIC FIGURES

The fact that a person is famous, publicly known, or professionally prominent does not mean that LiveNFrame Users possess unrestricted rights to commercially exploit that person’s identity.

Users remain responsible for complying with applicable publicity, trademark, copyright, false-endorsement, privacy, defamation, and other laws.

40. FAIR USE, NEWS, COMMENTARY, PARODY, AND OTHER LEGAL RIGHTS

Nothing in this Agreement is intended to eliminate lawful rights or defenses that may exist under applicable law, including, where applicable:

fair use;

parody;

satire;

commentary;

criticism;

news reporting;

expressive use;

First Amendment protections; or

other statutory or constitutional protections.

Whether a particular use is legally protected depends upon the circumstances and applicable law.

LiveNFrame does not adjudicate those legal questions merely by operating the Service.

41. NO TRANSFER OF PUBLICITY RIGHTS THROUGH TECHNICAL PROCESSING

Technical acts required to operate LiveNFrame—including hosting, encoding, copying, transmitting, transcoding, displaying, analyzing, and storing User Content—do not constitute a purchase of the User’s publicity rights.

The operational license in this Agreement exists solely so LiveNFrame can perform the Service.

42. DELETION OF PRIVATE RECORDINGS

Where the Service provides deletion functionality, you may request deletion of private recordings under LiveNFrame’s control.

LiveNFrame will process qualifying deletion requests in accordance with its Privacy Policy, applicable technical processes, and applicable law.

Deletion from active systems may not occur instantaneously.

Information may remain temporarily in protected backups until ordinary backup rotation or deletion processes are completed.

43. DELETION AFTER SUBMISSION TO A CASTING PROFESSIONAL

Deleting a recording from your personal LiveNFrame library does not necessarily recall or destroy a copy that you previously and intentionally submitted to a Casting Professional.

LiveNFrame may remove copies under its own control where appropriate, but we cannot guarantee deletion of a copy that:

was lawfully downloaded by a Casting Professional;

was exported through an authorized feature;

is independently maintained by a production;

is subject to a legal retention obligation;

is preserved in connection with a dispute; or

otherwise exists outside LiveNFrame’s reasonable control.

The recipient remains responsible for its independent use of that copy.

44. ACCOUNT DELETION

When you delete your LiveNFrame account, LiveNFrame will delete or de-identify qualifying personal information and User Content under its control in accordance with the Privacy Policy.

Certain information may be retained where reasonably necessary or legally permitted for:

active casting workflows;

security;

fraud prevention;

legal compliance;

accounting;

tax requirements;

dispute resolution;

preservation obligations;

enforcement;

backup rotation; or

establishment, exercise, or defense of legal claims.

Accordingly, account deletion should not be interpreted as a representation that every copy everywhere in the world disappears instantaneously.

45. COPIES PREVIOUSLY SHARED WITH OTHERS

When you intentionally share content with another person, that person may possess a copy independent of your LiveNFrame account.

Deleting the original from LiveNFrame does not necessarily delete an independently retained copy.

This limitation applies particularly to audition Submissions intentionally provided to Casting Professionals.

46. WITHDRAWAL OF OPERATIONAL LICENSE

Subject to applicable retention requirements, LiveNFrame’s operational license to private User Content ends when the content is deleted and LiveNFrame no longer needs to process it for the purposes authorized by this Agreement.

Residual technical copies may remain temporarily in backups.

Permissions associated with content previously and intentionally shared with another User may continue to the extent reasonably necessary to honor the sharing action, preserve lawful records, or comply with applicable law.

47. BUSINESS TRANSFERS

If Jigiya Tech undergoes a merger, acquisition, financing, restructuring, bankruptcy, sale of assets, or similar corporate transaction, User Content and associated contractual rights may transfer as part of the operation of the LiveNFrame Service, subject to applicable law and the limitations contained in this Agreement.

A corporate transaction does not automatically convert your NIL into unrestricted commercial property of the acquiring entity.

Any successor operating LiveNFrame remains subject to applicable legal obligations concerning User rights.

48. SERVICE PROVIDERS

Jigiya Tech may permit vendors and contractors to process User Content when reasonably necessary to operate LiveNFrame.

Such technical processing does not constitute a sale of your NIL merely because a service provider receives information necessary to perform its contracted function.

Our Privacy Policy provides additional information regarding service providers and data processing.

49. LEGAL DISCLOSURE

LiveNFrame may preserve or disclose User Content where required or permitted by applicable law, including in response to valid:

subpoenas;

warrants;

court orders;

regulatory requirements;

governmental requests;

litigation holds; or

other legal processes.

Such legally compelled processing does not constitute a voluntary commercial license of your NIL.

50. SECURITY

LiveNFrame uses administrative, technical, and organizational measures designed to protect User Content.

However, no Internet-based platform can guarantee absolute security.

An unauthorized cyberattack or criminal acquisition of User Content does not constitute an intentional grant by LiveNFrame of rights to commercially exploit the affected User’s NIL.

51. UNAUTHORIZED COPYING

Users may not use technical measures to unlawfully:

scrape Actor profiles;

harvest Actor images;

collect voices;

create facial datasets;

create voice datasets;

create AI-training datasets;

create digital replicas;

build biometric databases; or

commercially exploit User Content

without appropriate legal authority.

LiveNFrame may use technical, contractual, or legal measures to prevent or address such activity.

52. BIOMETRIC INFORMATION

LiveNFrame’s processing of audiovisual content may necessarily involve images of faces and recordings of voices.

The mere storage or processing of an image or voice recording does not necessarily mean that LiveNFrame creates a biometric identifier or biometric template.

LiveNFrame does not presently represent that its ordinary audition functionality performs facial recognition or voiceprint identification.

If Jigiya Tech introduces a feature that creates or uses regulated biometric identifiers or templates, Jigiya Tech will provide additional disclosures and obtain any consent required by applicable law before implementing the applicable feature.

53. FACIAL RECOGNITION

LiveNFrame does not presently use Actor self-tapes for the purpose of identifying Actors through a generalized facial-recognition database.

Camera access used to create a self-tape should not be interpreted as consent to unrelated facial recognition.

54. VOICEPRINT IDENTIFICATION

LiveNFrame does not presently use ordinary audition audio to establish a generalized voiceprint-identification database for identifying Users based upon biometric vocal characteristics.

Audio transcription and performance analysis are distinct from biometric voice identification.

55. NO OWNERSHIP BASED UPON ANALYSIS

LiveNFrame’s software may analyze characteristics of a performance such as:

articulation;

pacing;

delivery;

inflection;

emotion;

timing;

dramatization; and

other performance characteristics.

Such analysis does not give LiveNFrame ownership of the Actor’s voice, performance style, persona, or professional identity.

56. PERFORMANCE STYLE

LiveNFrame does not claim ownership of a User’s generalized acting style merely because AI systems analyze that performance.

Similarly, LiveNFrame does not claim exclusive rights to an Actor’s ordinary:

cadence;

emotional approach;

delivery style;

mannerisms;

gestures;

dramatic interpretation; or

artistic choices

except to the extent that LiveNFrame independently owns protectable technology, content, or intellectual property unrelated to the Actor’s NIL.

57. SYNTHETIC OUTPUT AND PERFORMANCE FEEDBACK

An AI system may recommend that an Actor alter pacing, tone, delivery, emotion, or another characteristic.

Those recommendations do not authorize LiveNFrame to appropriate the resulting performance.

The Actor remains responsible for artistic choices made in response to AI-generated recommendations.

58. NO GUARANTEE OF CASTING CONFIDENTIALITY BY THIRD PARTIES

LiveNFrame can implement access controls within the Service, but cannot guarantee that every independent recipient will comply with their legal or contractual obligations.

Actors should therefore understand that intentionally submitting an audition necessarily involves disclosure to another person.

LiveNFrame may take reasonable action against Users who misuse Submissions, but cannot guarantee that unauthorized copying will never occur.

59. CASTING PROFESSIONAL AGREEMENT TO RESPECT NIL RIGHTS

By accessing Actor Submissions through LiveNFrame, Casting Professionals agree not to use LiveNFrame as a means to knowingly violate an Actor’s enforceable NIL, privacy, publicity, copyright, or other legal rights.

LiveNFrame may condition continued professional access upon compliance with this requirement.

60. COMMERCIAL USE REQUIRES INDEPENDENT AUTHORITY

If a Casting Professional ultimately selects an Actor for a production, the production may require a separate agreement governing:

compensation;

publicity;

advertising;

merchandising;

promotional use;

character rights;

performance rights;

digital replicas;

synthetic performances;

voice rights;

reuse;

residuals; or

other exploitation.

Those rights are not automatically created by the Actor’s initial LiveNFrame audition Submission.

They should be addressed in the applicable independent agreement between the Actor and the appropriate production or rights holder.

61. REPORTING NIL MISUSE

Users who believe that their NIL or User Content has been misused through LiveNFrame may report the matter to:

support@livenframe.com

Please include sufficient information to permit us to identify the content and investigate the complaint.

We may request additional information or documentation where reasonably necessary.

62. REMEDIAL ACTION

Depending upon the circumstances, LiveNFrame may:

investigate;

preserve relevant records;

contact the accused User;

restrict content;

disable access;

remove content;

suspend an account;

terminate an account;

preserve evidence;

cooperate with lawful process; or

take other appropriate measures.

LiveNFrame retains reasonable discretion concerning enforcement of its contractual policies, subject to applicable law.

63. NO PRIVATE ADJUDICATION OF OWNERSHIP DISPUTES

LiveNFrame is not a court and does not necessarily have the ability to conclusively determine competing claims concerning:

publicity rights;

copyright;

ownership;

consent;

performance rights;

digital replicas;

voice rights; or

other intellectual-property disputes.

We may take interim action while parties resolve a dispute through appropriate legal channels.

64. CHANGES TO THIS AGREEMENT

Jigiya Tech may update this NIL Agreement to reflect:

changes in LiveNFrame functionality;

changes in AI technology;

new avatar features;

new synthetic-media functionality;

changes in service providers;

changes in law;

regulatory developments; or

changes in our business practices.

Material changes affecting how LiveNFrame uses identifiable User NIL will be communicated as required by applicable law.

Where applicable law requires affirmative consent for a materially new use, we will seek such consent rather than relying solely upon continued use where continued use would be legally insufficient.

65. NO RETROACTIVE EXPANSION OF COMMERCIAL NIL RIGHTS

An update to this Agreement will not be interpreted as retroactively granting LiveNFrame unrestricted commercial rights to exploit previously created identifiable private recordings for advertising, endorsements, digital-replica creation, or generalized AI training where separate authorization is legally required.

66. RELATIONSHIP TO PRIVACY POLICY

The LiveNFrame Privacy Policy describes how Jigiya Tech collects, processes, discloses, stores, and retains personal information.

This NIL Agreement principally addresses rights and permissions relating to identity and performance.

The documents should be interpreted together.

Where a question concerns collection, security, retention, or privacy rights, the Privacy Policy may contain additional controlling detail.

67. RELATIONSHIP TO TERMS OF SERVICE

The LiveNFrame Terms of Service govern use of the Service generally.

This NIL Agreement supplements those Terms with specific provisions governing NIL, voice, performance, synthetic characters, and related rights.

Nothing in this NIL Agreement eliminates limitations, warranties, dispute-resolution provisions, indemnification obligations, or other generally applicable provisions of the Terms of Service unless this Agreement expressly states otherwise.

68. RIGHTS RESERVED TO USERS

Except for the limited permissions expressly granted in this Agreement, Jigiya Tech does not claim ownership of your NIL merely because you use LiveNFrame.

Your identity remains your identity.

Your likeness remains your likeness.

Your voice remains your voice.

Your performance remains subject to the rights you otherwise possess in it.

The purpose of the permissions contained in this Agreement is to allow LiveNFrame to provide the rehearsal, self-tape, transcription, AI-feedback, and casting functionality you choose to use—not to convert your professional identity into property of Jigiya Tech.

70. USER ACKNOWLEDGMENT

By accepting this NIL Agreement and using the applicable LiveNFrame functionality, you acknowledge that:

you retain the NIL rights you otherwise possess under applicable law;

you grant LiveNFrame only those permissions reasonably necessary to provide the Service and as otherwise expressly described in this Agreement;

submitting an audition authorizes its delivery to and casting-related review by the intended Casting Professional and authorized casting team;

submitting an audition does not automatically grant unrelated advertising, endorsement, merchandising, AI-training, voice-cloning, or Digital Replica rights;

LiveNFrame’s AI-assisted processing does not transfer ownership of your identity to Jigiya Tech;

LiveNFrame’s standard Synthetic Characters are not intended to represent particular real individuals unless expressly identified otherwise;

any unintended resemblance between a standard Synthetic Character and a real person is coincidental, incidental, and serendipitous unless expressly stated otherwise;

deleting content from LiveNFrame cannot necessarily recall copies previously and lawfully transmitted to another authorized User;

applicable law may provide additional rights that cannot be waived by this Agreement; and

you have had an opportunity to review this Agreement before using the applicable functionality.
